Terms of Service

These Terms of Service ("Terms") govern your access to and use of MindPalace AI Inc.'s ("MindPalace," "we," "us," or "our") Decision Intelligence platform, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

MindPalace provides a Decision Intelligence platform that includes:

• Cartographer Engine: AI-powered semantic layer automation that maps your data warehouse metadata.
• Living Map: Interactive visualization of your organization's KPI hierarchy.
• KPI Drilldown & Deep Analysis: Self-serve analytics and investigation tools.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to compete directly with MindPalace
• Resell, sublicense, or redistribute the Service without authorization

5. Your Data

Ownership

You retain all rights to your data. MindPalace does not claim ownership of any data you provide or connect to the Service.

Data Access

When you connect your data warehouse to MindPalace, we access metadata only (table structures, column names, relationships). We do not access, copy, or store your actual business data. Your data remains in your infrastructure at all times.

License Grant

You grant MindPalace a limited, non-exclusive license to access and use your metadata solely for the purpose of providing the Service to you.

6. Intellectual Property

The Service, including all content, features, and functionality (including but not limited to software, algorithms, designs, text, graphics, and logos), is owned by MindPalace and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7. Payment Terms

If you subscribe to a paid plan:

• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change pricing with 30 days' notice
• You are responsible for all applicable taxes
• Failure to pay may result in suspension or termination of access

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party. This obligation does not apply to information that is publicly available, independently developed, or rightfully received from third parties.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDPALACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO MINDPALACE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless MindPalace and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

12. Term and Termination

These Terms remain in effect until terminated. You may terminate by closing your account. We may terminate or suspend your access immediately, without notice, for any violation of these Terms.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive (including intellectual property, disclaimers, limitations of liability, and indemnification).

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in San Francisco County, California.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and MindPalace regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our written consent. We may assign our rights freely.
